Annual performance of the Board

  The Company currently appoints the Remuneration Committee to be responsible for reviewing the policies, systems, standards and structures of directors and managers’ performance evaluation and remunerations based on the “Procedures of Remuneration to Directors, Supervisors and Managers”, and has first adopted the “Procedures for the Board of Director’s Performance Evaluation” on May 14, 2018 after approval of the board of directors’ meeting, which requires an annual performance evaluation of the board of directors to be completed within three months after the end of the fiscal year.

(1)The “Questionnaire of Self-Evaluation of Performance of the Board” of the board of directors, which  includes

     the following five aspects:

     1. Participation in the operation of the company.

  1.      2. Improvement of the quality of the board of directors' decision making.
  2.      3. Composition and structure of the board of directors.
  3.      4. Election and continuing education of the directors.
  4.      5. Internal Control.

(2)The “Questionnaire of Self-Evaluation of Performance of the Board Members” of the board of directors,              which  includes the following six aspects:            

     1.Mastery of company goals and tasks.

  1.      2. Awareness of director's responsibilities.
  2.      3. Participation in the operation of the company.
  3.      4. Internal relationship management and communication.
  4.      5. Professional and continuing education of the directors.

     6. Internal Control.

(3)The “Questionnaire of Self-Evaluation of Performance of the Functional Committees” of the board of

    directors, which  includes the following five aspects:

     1. Participation in the operation of the company.

  1.      2. Awareness of functional committees' responsibilities.
  2.      3. Improvement of the quality of the functional committees' decision making.
  3.      4. Functional Committee composition and member election.
  4.      5. Internal Control.

  The assessment results will be reported to the Board of Directors for review and improvement.

In the future, the Company will consider the performance evaluation of the board of directors, as well as the performance evaluation of the functional committee as reference for determining the individual salary.
